OVERVIEW:
- Recommend appropriate actions, handle cases, contracts review, compliances, legal due diligence, provide legal opinion to different departments, and other duties as assigned.
- Assist the Legal Manager and the Legal and Technical Services Director in monitoring required submissions/compliances of the Technical Services Group and Legal Services with various government agencies.
- Assist the Assistant Corporate Secretary and Corporate Secretary during Board/Shareholder meetings, act as alternate Compliance Officer before government agencies, and perform other legal functions as required by law.
- Coordinate and prepare all documentary requirements needed for Board and Shareholders’ Meetings.
- Assist the Legal and Technical Services Director with departmental and corporate concerns and in the preparation of reports.
RESPONSIBILITIES:
A. Operations / Internal Business Perspective
- Recommend appropriate actions, handle cases, contract review, compliances, legal due diligence, and provide legal opinion to different departments.
- Coordinate and monitor government compliances/regulatory submissions for both Legal Services and Technical Services Group:
- Legal Services:
- Securities and Exchange Commission (SEC) – i.e., GIS, notices, compliance requirements.
- Board of Investments (BOI) – i.e., applications for registration, compliance requirements, ITH applications.
- Department of Human Settlement and Urban Development (DHSUD) – i.e., sworn comment/s, and other correspondences.
- Courts – i.e., submission of pleadings.
- Anti-Money Laundering Council (AMLC) – i.e., compliance requirements, notices, and other correspondences.
- Bureau of Internal Revenue (BIR) – i.e., filing of requests for tax rulings.
- Technical Services:
- Local Government Units – i.e., applications for all required project permits.
- DHSUD – i.e., applications for Certificate of Registration and License to Sell (CRLS) and other allied documents.
- Bureau of Internal Revenue (BIR) – i.e., payment of taxes for title transfers.
- Registry of Deeds – i.e., title transfer for project and individual buyers’ titles.
- National Water Resources Board (NWRB) – i.e., applications for drilling and other water permits.
- Department of Environment and Natural Resources (DENR) – i.e., applications for Environmental Compliance Certificate (ECC).
- Private contractors/suppliers – i.e., applications for project electrification and utility services.
- Handle cases, contracts review, compliances, legal due diligence, and provide legal opinion to different departments.
- Assist in the coordination and preparation of all documents needed for Board and Shareholders’ Meetings.
- Provide regular reportorial requirements to the Legal Director.
- Implement Data Privacy policies and programs of the company aligned with Century Properties Group.
B. Customer Perspective
- Assist the Assistant Corporate Secretary and Corporate Secretary during Board/Shareholders meetings, act as alternate Compliance Officer, and perform other functions mandated by law.
- Establish a good working relationship with courts, quasi-courts, local government units, and other government agencies.
JOB REQUIREMENTS:
1. Qualifications:
- At least 2 years of strong background in Corporate Law.
- At least 1 year of litigation experience.
- Lawyer/passed the Bar Exam.
2. Knowledge:
- Labor Code of the Philippines.
- Civil Code of the Philippines.
- Corporation Code of the Philippines.
- Tax Code of the Philippines.
- Various Laws in Real Estate.
- Working knowledge of taxation and criminal law is an advantage.
- MS Office applications.
3. Skills:
- Good management skills.
- Good analytical skills.
- Excellent communication skills (oral and written).
- Ability to weigh legal risks vs. tasks, objectives, and results required.
